Welcome to the Run Free Project!

These Terms of Service (“Terms”) are a legal agreement between you (“User,” “you,” or “your”) and Run Free Software, LLC (“Run Free,” “Run Free Project,” “we,” “us,” or “our”) governing your access to and use of the Run Free Project platform and services (collectively, the “Services”). Please read these Terms carefully before accessing or using any Run Free Project Services. By accessing or using any part of the Services, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Services.

1. ACCOUNT AND USE OF SERVICES

By signing up for an Account or by using any Run Free Project Services, you are agreeing to be bound by these Terms. If you are using the Services on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms. In these Terms, “we,” “us,” “our,” “Run Free,” “Run Free Project,” and “Run Free Software, LLC” refer to Run Free Software, LLC, the entity providing the Services. “You” refers to the individual User accessing the Services or the business employing the User and its affiliates.

2. DESCRIPTION OF SERVICES

Run Free Project provides a commerce platform that enables retailers to unify their online and in-store commerce activities. The platform includes various tools for merchants to build and customize online stores and websites, sell in multiple places, manage products, utilize Mobile Loyalty Applications, handle inventory, integrate payments, manage fulfillment, shipping, business operations, and engage with existing and potential customers. These Services and any new features or tools added to the current Services are subject to these Terms. We reserve the right to update, change, or replace any part of these Terms by posting updates and/or changes on our website. Your continued use of or access to Run Free Project products and Services following the posting of any changes constitutes acceptance of those changes.

3. MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products are subject to change without notice.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Services.

4. PRODUCTS OR SERVICES (if applicable)

Certain products or services may be available exclusively online through the Run Free Project and associated Services. These products or services may have limited quantities and are subject to return or exchange only according to applicable Return Policies.

We have made every effort to display as accurately as possible the colors and images of products that appear for use in your Run Free Project store.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We also reserve the right to limit the quantities of any products or Services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. Any offer for any product or Service made on this site is void where prohibited.

We do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms.

6. ONLINE STORE TERMS

By agreeing to these Terms of Service, you confirm that you are of the age of majority in your state or province of residence or that you have given us consent to allow your minor dependents to use Run Free Project Services.

You shall not use our products for any illegal or unauthorized purpose, and in your use of the Service, you agree to comply with all applicable laws in your jurisdiction, including but not limited to copyright laws.

You are prohibited from transmitting any worms, viruses, or any code of a destructive nature.

Any breach or violation of these Terms will lead to an immediate termination of your Services.

7. GENERAL CONDITIONS

We reserve the right to refuse Services to anyone for any reason at any time.

You acknowledge that your content (excluding credit card information) may be transferred unencrypted and involve (a) transmissions over various networks and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted by the payment processor upon entry.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services, use of the Services, or access to the Services or any contact on the website/platform through which the Services are provided without our express written permission.

You further agree not to circumvent any technical limitations of the Services, including processing orders outside official Run Free Project functions, enabling disabled features, or reverse engineering the Services.

You grant Run Free Software, LLC a non-exclusive, transferable, sub-licensable, royalty-free, worldwide right and license to use the names, trademarks, service marks, and logos associated with your Store (“Your Trademarks”) to operate, provide, and promote the Services and to perform our obligations and exercise our rights under the Terms of Service. This license will survive any termination of the Terms solely to the extent necessary for Run Free Software, LLC to exercise its rights or perform its obligations arising during the Term.

8. ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site or through the Services is not accurate, complete, or current. The material on this site and within the Services is provided for general information only and should not be relied upon as the sole basis for making decisions without consulting primary, more accurate, complete, or timely sources of information. Your reliance on the material on this site is at your own risk.

This site and the Services may contain certain historical information. Historical information, by its nature, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we are under no obligation to update any information on it. You are responsible for monitoring changes to our site and Services.

9. ACCURACY OF BILLING AND ACCOUNT INFORMATION

We retain the right to refuse any order placed on the Run Free Project platform or its associated Services. We may, at our sole discretion, limit or cancel quantities purchased per person, per household, or per order. If we make changes to or cancel an order, we will attempt to notify you by contacting the email and/or billing address/phone number provided at the time of the order. Orders placed by dealers, resellers, or distributors, as judged by us, may be limited or prohibited.

You are responsible for providing current, complete, and accurate purchase and account information for all subscriptions and purchases made with Run Free Software, LLC. It is your obligation to promptly update your account and other information, including your email address and credit card numbers, to ensure the completion of your transactions and to facilitate our communication with you.

10. OPTIONAL TOOLS

We may offer access to third-party tools, over which we have no monitoring or control.

You acknowledge and agree that these tools are provided “as-is” and “as available” without any warranties, representations, or conditions, and without any endorsement from us. We bear no liability arising from or related to your use of optional third-party tools.

Your use of optional tools provided through the Run Free Project is entirely at your own risk and discretion. You should ensure that you are familiar with and approve of the terms on which these tools are provided by the relevant third-party provider(s).

We may, in the future, introduce new services and features, including the release of new tools and resources. Such additions shall also be subject to these Terms of Service.

11. YOUR RESPONSIBILITIES

You agree to provide public-facing contact information, a refund policy, and order fulfillment timelines on your Run Free Project Store and its adjacent, public-facing services like your Mobile Loyalty Apps.

You acknowledge that the Services are not a marketplace, and any sales contract made through the Services is directly between you and the customer. You are the seller of record for all items sold through the Services. This includes authorizing customer charges, refunds, returns, sales fulfillment, customer service, and regulatory compliance. You are responsible for ensuring that your Store, your Materials, and the goods and services you offer comply with all applicable laws and regulations. Run Free Software, LLC will not be the seller or merchant of record and assumes no responsibility for your Store or items sold through the Services.

By using the Services, you agree to our Acceptable Use Policy, which is available here. 

You are solely responsible for the goods or services you sell through the Services, including descriptions, pricing, fees, taxes, defects, legal disclosures, and regulatory compliance. You are also responsible for keeping your API Credentials secure and for using officially supported payment gateways and their integrations for any sales associated with your online store.

You are solely responsible for determining, collecting, withholding, reporting, and remitting applicable taxes, duties, fees, surcharges, and additional charges arising from any sale on your Run Free Project Store or your use of the Services. The Services are not a marketplace; any sales contract made through the Services is directly between you and the customer or you and the vendor.

12. RUN FREE PROJECT EMAIL AND NOTIFICATION SERVICES

You may generate or send emails and push notifications from your Account using the Run Free Project platform and Services (the “Notification Services”). In addition to the terms applicable to the Services generally (including Run Free Software, LLC’s Acceptable Use Policy and Privacy Policy), the following terms apply to your access and use of the Notification Services:

Your use of the Notification Services must comply with all applicable laws, including those related to spam or unsolicited commercial email (“UCE”), privacy, security, obscenity, defamation, intellectual property, pornography, terrorism, homeland security, gambling, child protection, and other applicable laws.

Your use of the Notification Services must comply with Run Free Software, LLC’s Privacy Policy and Acceptable Use Policy.

You shall not send sensitive personal data through the Notification Services, including information regarding an individual’s medical or health condition, race or ethnic origin, political opinions, religious or philosophical beliefs, or other sensitive data.

Your use of the Notification Services must adhere to all guidelines established by Run Free Software, LLC.

For concerns related to the Notification Services, please contact us at support@runfreeproject.com. The Notification Services may employ Third Party Providers, and your use is subject to their respective Acceptable Use Policies, which may be amended from time to time.

13. RUN FREE SOFTWARE, LLC INTELLECTUAL PROPERTY

You acknowledge and agree that you may not utilize any trademarks, logos, or service marks of Run Free Software, LLC, whether registered or unregistered, including but not limited to the word mark RUN FREE PROJECT. You are prohibited from using or adopting any marks that might cause confusion with the Run Free Software, LLC Trademarks. This includes variations or misspellings of Run Free Software, LLC and associated marks, which could be deemed confusing with the Run Free Software, LLC brand and Trademarks.

You agree not to purchase, register, or utilize search engine or other pay-per-click keywords (such as Google Ads), trademarks, email addresses, social media names, or domain names (including, without limitation, top-level domains, sub-domains, and page URLs) containing Run Free Project or Run Free Software, LLC Trademarks or any terms that may cause confusion with the Run Free Software brand, word marks, or Trademarks.

Furthermore, you acknowledge and agree that these Terms of Service do not confer upon you any right to implement Run Free Software, LLC patents.

14. THIRD-PARTY LINKS

Certain content, products, and services available through our Services may involve materials from third-parties.

Links provided may lead to third-party websites not affiliated with us. We do not examine or evaluate the content or accuracy and bear no responsibility for any third-party materials, websites, or any other materials, products, or services from third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Prior to engaging in any transaction, carefully review the third-party’s policies and practices. Concerns about third-party products should be directed to the third-party.

15. USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

If you send specific submissions at our request (such as contest entries) or without a request from us, including creative ideas, suggestions, proposals, plans, or other materials, you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use any comments forwarded to us. We are under no obligation (1) to keep any comments confidential; (2) to provide compensation for any comments; or (3) to respond to any comments.

We may, at our discretion, monitor, edit, or remove contents that, in our sole judgment, are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violate any party’s intellectual property or these Terms of Service.

Your comments may not violate any third-party rights, including copyright, trademark, privacy, personality, or other personal or proprietary right. Your comments may not contain libelous or otherwise unlawful, abusive, or obscene material, or any computer virus or malware. You may not use a false email address, impersonate someone else, or mislead us or third-parties regarding the origin of any comments. You are solely responsible for any comments you make and their accuracy. We assume no responsibility and bear no liability for any comments posted by you or any third-party.

17. ERRORS, INACCURACIES AND OMISSIONS

Occasionally, there might be typographical errors, inaccuracies, or omissions in information on our site or in the Services relating to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information on the Service or any related website is inaccurate without prior notice.

We are not obligated to update, amend, or clarify information in the Services or on any related website, including pricing information, except as required by law. The absence of a specified update or refresh date should not be interpreted as indicating that all information in the Services or on any related website has been modified or updated.

18. PROHIBITED USES

In addition to other prohibitions outlined in the Terms of Service, you are forbidden from using the Run Free Project platform, Services, or their contents: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or those of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that could affect the functionality or operation of the Service or any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the platform, Services, or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Services or any related website for violating any of these prohibited uses.

19. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent, or warrant that your use of our Services will be uninterrupted, timely, secure, or error-free.

We do not warrant that the results obtained from using the Services will be accurate or reliable.

You agree that we may remove the Services for indefinite periods or cancel the Services at any time without notice.

Your use of, or inability to use, the Services is at your sole risk. The Services and all products and services delivered to you or your customers through the Services are provided ‘as-is’ and ‘as available’ without any representations, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement, unless expressly stated by us.

In no case shall Run Free Software, LLC, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the Services or any products procured using the Service, or for any other claim related in any way to your use of the Services or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Services or any content (or product) posted, transmitted, or otherwise made available via the Services, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

20. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Run Free Software, LLC and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

21. CONFIDENTIALITY

“Confidential Information” includes, but is not limited to, any information associated with a party’s business and not publicly known, such as specific business information, technical processes and formulas, software, customer lists, prospective customer lists, names, addresses, and other information regarding customers and prospective customers, product designs, sales, costs (including any relevant processing fees), price lists, and other unpublished financial information, business plans, and marketing data, and any other confidential and proprietary information. Run Free Project’s Confidential Information includes all information that you receive related to the Services that is not known to the general public, including information about security programs and practices.

Each party agrees to use the other party’s Confidential Information solely as necessary for performing its obligations under these Terms of Service and in accordance with any other obligations in these Terms of Service. Each party agrees to take all reasonable steps to prevent the duplication, disclosure, or use of any such Confidential Information, other than by or to employees, agents, and subcontractors who must have access to such Confidential Information to perform obligations under these Terms of Service. Disclosure may be required by law, regulation, or order of any court of proper jurisdiction, provided the receiving party gives prompt written notice and uses reasonable efforts to ensure confidential treatment.

Confidential Information does not include information that: (A) was already in the public domain or known to the receiving party at the time of disclosure; (B) is independently developed by the receiving party without reference to the disclosing party’s Confidential Information; or (C) is rightfully obtained by the receiving party from a third party without breach of any confidentiality obligation.

22. SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.

23. SUBSCRIPTIONS

Some parts of the Services are billed on a subscription basis (“Subscriptions”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Run Free Software, LLC cancels it. You may cancel your Subscription renewal either through your Run Free Project platform admin portal or by contacting the Run Free Software, LLC support team.

A valid payment method is required to process the payment for your Subscription. You shall provide accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Run Free Software, LLC to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail, Run Free Software, LLC will issue an electronic invoice indicating that you must proceed manually with the full payment corresponding to the billing period as indicated on the invoice.

You are responsible for all applicable Taxes that arise from your subscription to or purchase of the Run Free Project’s products and Services. If you are exempt from payment of such Taxes, you must provide evidence of your exemption.

24. FEE CHANGES

Run Free Software, LLC may modify the Subscription fees for the Subscriptions at its sole discretion and at any time. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. Run Free Software, LLC will provide you with a reasonable prior notice of any change in Subscription fees.

25. REFUNDS

Refund requests for Subscriptions may be considered by Run Free Software, LLC on a case-by-case basis and granted at its sole discretion.

26. ACCOUNTS

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Services.

You are responsible for safeguarding your password and for any activities or actions under your password, whether your password is with our Services or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

27. TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using the Services.

If we suspect that you have failed to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

28. ENTIRE AGREEMENT

These Terms of Service and any policies or operating rules posted by us on our website or within the Services constitute the entire agreement and understanding between you and us, governing your use of the Services. They supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.

29. GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the state of New York, United States.

30. CHANGES TO TERMS OF SERVICE

We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website or within the Services. Your continued use of or access to our website or the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
